TERMS OF SERVICE FOR CSSOLUTION

Last updated: 12 October 2026. Replaces the terms dated April 2020.

Thank you for selecting the Services offered by CS Solution Limited, of Unit S, 11/F, One Midtown, 11 Hoi Shing Road, Tsuen Wan, Hong Kong (referred to as "CSsolution", "we", "our", or "us"), and/or its affiliates. Review these Terms of Service ("Agreement") thoroughly. This Agreement is a legal agreement between you and CSsolution. By accepting electronically (for example, by submitting the registration form, or by using the Services), accessing or using the Services, you agree to these terms. If you do not agree to this Agreement, please do not use the Services.

1. AGREEMENT

This Agreement describes the terms governing your use of the CSsolution services provided to you, including content, updates and new releases, (collectively, the "Services"). It includes by reference:

You must be at least 18 years of age to use our Services. By accessing or using our Services you agree that:

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions as its authorized representative, in which case the terms "you" or "your" will refer to such entity and its affiliates as well as you. If the legal entity that you represent does not agree with these terms and conditions, you must not accept this Agreement, register, and use or access the Services as an authorized representative.

2. YOUR RIGHTS TO USE THE SERVICES

2.1. The Services are protected by copyright and intellectual property laws. You are only granted the right to use the Services and only for the purposes described by CSsolution. We reserve all other rights in the Services. Until termination of this Agreement and as long as you meet any applicable payment obligations, data limits, and otherwise comply with this Agreement, CSsolution grants to you a personal, limited, nonexclusive, nontransferable right and license to use the Services.

2.2. You agree not to use, nor permit any third party to use, the Services or content in a manner that violates any applicable law, regulation or this Agreement. You agree you will not:

3. TYPES OF USERS

The Services allow the following types of access and user rights: When you initially register for and create an account for a Service, you are, or a party that you authorize is, the administrator ("Administrator"). Administrators may authorize additional individuals to access the Services through the same account ("Additional Users"), by inviting them from within the Services. The number of Additional Users may be limited based upon the subscription you purchase. Additional Users may include, for example, your employees and contractors. All Users are bound by this Agreement before accessing the Services, and each is given their own sign-in: a login is never shared, and two-factor authentication is required of every user of the service.

4. PAYMENT

Our Services are offered on a subscription basis and the following terms apply if you are the User paying for the Services.

5. TRIAL PERIOD

You may be offered a trial period of the Services. The trial begins when we approve your registration and set your firm up, and its length is stated in the e-mail that carries your activation link. If you decide not to continue after the trial, the Services for your firm come to an end when the trial ends and no further invoice is raised.

A trial that ends without your firm continuing ends the firm's service. Nothing is deleted by that day's passing; we then make the firm Closed, and its records are dealt with exactly as §12 sets out: we delete them within one month of the day the service ended.

6. MODIFICATION TO SERVICES

We have the right, in our sole discretion, to revise, update, or otherwise modify the Services or alter your access to the Services; and for material changes, to the extent reasonably possible, we will provide you with reasonable notice either posted on the website hosting the Services or to the Administrator's email address. In the event we need to maintain the security of the system or comply with any laws or regulations, we reserve the right to modify the Services immediately. You may reject any changes to the Services by discontinuing use of the Services to which such changes relate. Your continued use of the Services will constitute your acceptance of and agreement to such changes.

7. ADDITIONAL TERMS

7.1. CSsolution does not provide TCSP services. CSsolution is not in the business of providing Trust and Company Services which are covered by a TCSP licence, accounting, tax or other professional services or advice. Consult the services of a competent professional when you need this type of assistance. What the Services do is keep the records a firm must keep, and prepare the documents it must file: the firm's own professional and statutory duties — the customer due diligence it performs, the registers it maintains, and what it files with the Companies Registry or the Inland Revenue — remain the firm's.

7.2. You will manage your passwords and accept updates. You are responsible for securely managing your password(s) for the Services, for keeping the two-factor sign-in of each of your users in force, and to contact CSsolution if you become aware of any unauthorized access to your account. The Services may periodically be updated with tools, utilities, improvements, third party applications, or general updates to improve the Services. You agree to receive these updates.

7.3. Your records are yours. Everything your firm puts into the Services — its companies, the people, the documents, the CDD records, the filings — belongs to your firm. We hold it for you as your service provider. We do not sell it, we do not use it for any purpose of our own, and we do not disclose it to anyone except as this Agreement allows or the law requires.

7.4. Where it is held, and how it is protected. The Services run on Google Cloud. Sensitive fields — identity document numbers, dates of birth, mobile numbers, and sources of wealth — are encrypted in the database, and the encryption key is kept apart from it. One firm's records are not reachable by another firm's logins. The limits are stated, not implied: a user who is allowed to see a field sees its contents in clear on the screen, and some fields (residential addresses, for example) are not yet encrypted. Our current description of what is protected, and what is not, is published in the Services and is the authoritative statement; no marketing description is wider than it.

7.5. Backups. A backup of the database is taken every night, and a sealed copy is kept weekly away from the production machine. Restoring a backup is a deliberate, recorded operation.

7.6. Who may see your data. Only your firm's own users see your firm's records. Our own staff reach a firm's records only through a support view whose entry is recorded in the firm's audit log, and the platform's administrator can be in one firm at a time. Every change through the Services is written to that firm's own audit log.

7.7. Other services the Services use. To do what it does, the Services call: the Companies Registry of Hong Kong (its open data, for looking a company up by its Business Registration number, and its e-filing service, TPSI, when you file); our payment processor, when a card payment is made; and Google sign-in, where your firm has chosen to offer it. Those services are governed by their own terms.

8. DISCLAIMER OF WARRANTIES

8.1. YOUR USE OF THE SERVICES, SOFTWARE, AND CONTENT IS ENTIRELY AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CSsolution, ITS AFFILIATES, AND ITS AND THEIR THIRD PARTY PROVIDERS, LICENSORS, DISTRIBUTORS OR SUPPLIERS (COLLECTIVELY, "SUPPLIERS") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT THE SERVICES ARE FIT FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, DATA LOSS, NON-INTERFERENCE WITH OR NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS, OR THE ACCURACY, RELIABILITY, QUALITY OF CONTENT IN OR LINKED TO THE SERVICES. CSsolution AND ITS AFFILIATES AND SUPPLIERS DO NOT WARRANT THAT THE SERVICES ARE SECURE, FREE FROM BUGS, VIRUSES, INTERRUPTION, ERRORS, THEFT OR DESTRUCTION.

8.2. CSsolution, ITS AFFILIATES AND SUPPLIERS DISCLAIM ANY REPRESENTATIONS OR WARRANTIES THAT YOUR USE OF THE SERVICES WILL SATISFY OR ENSURE COMPLIANCE WITH ANY LEGAL OBLIGATIONS OR LAWS OR REGULATIONS.

9. LIMITATION OF LIABILITY AND INDEMNITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS OR THE SERVICES AGREEMENT(S) TO THE CONTRARY, THE ENTIRE LIABILITY OF CSsolution, ITS AFFILIATES AND SUPPLIERS FOR ALL CLAIMS RELATING TO THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO SUCH CLAIM. SUBJECT TO APPLICABLE LAW, CSsolution, ITS AFFILIATES AND SUPPLIERS ARE NOT LIABLE FOR ANY OF THE FOLLOWING: (A) INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES; (B) DAMAGES RELATING TO FAILURES OF TELECOMMUNICATIONS, THE INTERNET, ELECTRONIC COMMUNICATIONS, CORRUPTION, SECURITY, LOSS OR THEFT OF DATA, VIRUSES, SPYWARE, LOSS OF BUSINESS, REVENUE, PROFITS OR INVESTMENT, OR USE OF SOFTWARE OR HARDWARE THAT DOES NOT MEET CSsolution SYSTEMS REQUIREMENTS. THE ABOVE LIMITATIONS APPLY EVEN IF CSsolution AND ITS AFFILIATES AND SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS AGREEMENT SETS FORTH THE ENTIRE LIABILITY OF CSsolution, ITS AFFILIATES AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO THE SERVICES AND ITS USE.

You agree to indemnify and hold CSsolution and its Affiliates and Suppliers harmless from any and all claims, liability and expenses, including reasonable attorneys' fees and costs, arising out of your use of the Services or breach of this Agreement (collectively referred to as "Claims"). CSsolution reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any Claims. You agree to reasonably cooperate as requested by CSsolution in the defense of any Claims.

10. CHANGES

We reserve the right to modify this Agreement, in our sole discretion, at any time. Such modifications may be posted through the Services, on our website for the Services or when we notify you by other means. We may also change or discontinue the Services, in whole or in part. It is important that you review this Agreement whenever we modify it because your continued use of the Services indicates your agreement to the modifications.

11. TERMINATION

CSsolution may, in its sole discretion and without notice, restrict, deny, terminate this Agreement or suspend the Services, related or other Services, effective immediately, in whole or in part, if we determine that your use of the Services violates the Agreement, is improper or substantially exceeds or differs from normal use by other users, raises suspicion of fraud, misuse, security concern, illegal activity or unauthorized access issues, to protect the integrity or availability of the Services or systems and comply with applicable CSsolution policy, or if you no longer agree to receive electronic communications, or if your use of the Services conflicts with CSsolution's interests or those of another user of the Services. Upon termination, you must immediately stop using the Services and any outstanding payments will become due. Any termination of this Agreement shall not affect CSsolution's rights to any payments due to it. Sections 2.2, 3 through 15 will survive and remain in effect even if the Agreement is terminated.

What happens to your records when the Services end. Deletion follows our privacy notice. When the Services for your firm end, nothing is deleted by the system by itself: the deletion is ours to make, and we make it within one month of the day the service ended. What that deletion removes, and what is kept, is set out below.

12. DATA

12.1. Your firm's data is stored and maintained by CSsolution, in our own application, on Google Cloud. It is not held by any third-party platform. Our staff may reach a firm's records only to operate and support the service, and every such entry into a firm's records is written to that firm's audit log (§7.6).

12.2. Deleting a firm's data. We delete a firm's data only when its status is Closed. The firm does not have to ask us, and nothing is deleted by the system by itself: the deletion is ours to make, and we make it within one month of the day the service ends; if a closed firm's data is still held when that month is over, we are alerted and put it right. When it is done, everything of the firm is removed for good: its records in every table, its audit log, its users' access to it, and any login that belongs to no other firm, together with the two-factor apps on it. Kept: the firm's name, our invoices and receipts to it (our accounting records), and one line in the platform's audit log recording that the deletion happened. Backups taken before the deletion keep the data until they expire.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Hong Kong and the parties hereto agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong.

14. DISPUTES

ANY DISPUTE OR CLAIM RELATING IN ANY WAY TO THE SERVICES OR THIS AGREEMENT WILL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, except that you may assert claims in small claims tribunal if your claims qualify.

15. GENERAL

This Agreement, including attachments, exhibits, and schedules annexed thereto, is the entire agreement between you and CSsolution regarding its subject matter and replaces all prior understandings, communications and agreements, oral or written, regarding its subject matter. Any purchase of CSsolution services and support are made pursuant solely to the terms and conditions of this Agreement. Notwithstanding the content of any purchase order, sales order, sales confirmation, or any other printed or pre-printed document relating to the subject matter herein, the terms and conditions contained in this Agreement shall take precedence over any contract or other document between you and CSsolution, and shall be incorporated by reference into any subsequent purchase order, sales order, or contract, and any conflicting, inconsistent, or additional terms and conditions contained therein shall be null and void. If any court of law, having the jurisdiction, rules that any part of this Agreement is invalid, that section will be removed without affecting the remainder of the Agreement. The remaining terms will be valid and enforceable. You may not assign or transfer ownership of this Agreement to anyone without written approval of CSsolution. However, CSsolution may assign or transfer this Agreement without your consent to (a) an affiliate, (b) a company through a sale of assets by CSsolution or (c) a successor by merger. Any assignment in violation of this Section shall be void.
